1. About NexusCompute
NexusCompute ("we", "us", "the platform") operates an AI compute marketplace that connects individuals and organisations who wish to sell GPU compute capacity ("Providers") with developers and businesses who wish to purchase AI inference capacity ("Buyers"). By creating an account or using any part of the platform you agree to these Terms of Service ("Terms"). If you do not agree, do not use the platform.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use NexusCompute. If you are using the platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. Provider Obligations
- Hardware requirements. Providers must list accurate hardware specifications (GPU model, VRAM, system RAM, network speed). Misrepresentation of hardware capabilities is grounds for immediate account suspension.
- Uptime. Providers are expected to maintain reasonable availability for their listed nodes. Persistent downtime or unreliability may result in automatic delisting or account review.
- Prohibited content. Providers must not use NexusCompute to serve requests involving illegal content, child sexual abuse material, non-consensual intimate imagery, content that promotes violence or terrorism, or any other content prohibited by applicable law. Violation results in immediate termination.
- Compliance. Providers are solely responsible for ensuring their hardware, software, and operations comply with all applicable laws in their jurisdiction, including export controls and data-protection regulations.
4. Buyer Obligations
- Fair use. Buyers may not use the platform to generate illegal content, launch attacks, circumvent security systems, or otherwise violate applicable law.
- No abuse. Automated scraping of listings, artificially inflating job counts, or any other manipulation of the marketplace is prohibited.
- API keys. Buyers are responsible for keeping their API keys secure. NexusCompute is not liable for charges resulting from unauthorised use of a disclosed key.
5. Fees and Billing
Buyers prepay a credit balance via Stripe. Inference jobs are billed per token at the rate displayed at the time of connection. NexusCompute charges a platform fee of $0.10 per 1,000 tokens on top of the provider's payout rate; this fee is shown transparently on every listing and at checkout.
Provider payouts are settled via Stripe Connect. Providers are responsible for any taxes owed on their earnings. NexusCompute will issue relevant tax forms where required by law.
All fees are in United States Dollars (USD). Prepaid credits are non-refundable except where required by applicable law.
6. Intellectual Property
You retain all rights to content you submit through the platform (prompts, model outputs, hardware descriptions). By submitting content, you grant NexusCompute a limited, non-exclusive licence to process and display that content solely to operate the platform. NexusCompute does not claim ownership over your inference inputs or outputs.
7. Suspension and Termination
We may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or behaviour that damages the platform or other users. You may delete your account at any time from your dashboard. Upon termination, your access to the platform ceases immediately. Unused prepaid credits may be refunded at our discretion.
8. Disclaimers
NexusCompute is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that defects will be corrected.
NexusCompute is a marketplace intermediary. We do not own, operate, or control the compute hardware listed by Providers and are not responsible for the quality, accuracy, security, or legality of Provider services.
9. Limitation of Liability
To the maximum extent permitted by applicable law, NexusCompute's total liability to you for any claims arising out of or relating to these Terms or your use of the platform shall not exceed the greater of (a) the total fees you paid to NexusCompute in the twelve months preceding the claim or (b) $100 USD. In no event shall NexusCompute be liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless NexusCompute and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the platform, violation of these Terms, or infringement of any third-party rights.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email or a notice on the platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
